Service Agreement

Plain-English draft of how Voltora Contract Labor works with companies and with licensed electricians in our network. By checking “I agree” on a form at hirevoltora.com, you acknowledge this draft. A signed written agreement (or written rate confirmation) will govern each engagement.

1. Parties and nature of the relationship

Voltora Contract Labor (“Voltora,” “we”) connects companies that need licensed electrical help (“Company”) with licensed electricians and licensed electrical businesses in our network (“Network Member”).

  • Engagements are subcontracting / staffing placements. Voltora is not the Company’s employee, and Network Members are not Voltora employees unless a separate written agreement says otherwise.
  • How work is contracted must follow the licensing and labor rules of the state where the work happens. We set each engagement to fit those rules rather than making one-size-fits-all status promises.

2. Rates and scope

  • Any online cost estimate is an estimate only. Final bill rates, Network Member pay rates, overtime, travel, per diems, and scope are agreed in writing before work starts.
  • Nothing is scheduled or owed until both sides confirm in writing (email is fine).

3. Invoicing and payment

  • Companies: Voltora invoices weekly for work performed that week. Payment terms are Net-7 from invoice date unless a written agreement says otherwise. Late amounts may accrue a reasonable late fee or interest allowed by Minnesota law.
  • Network Members: Pay for accepted work runs on a weekly cycle after Voltora receives approved timesheets / completion confirmation from the Company, subject to any holdbacks needed to correct errors or disputes.

4. Non-solicitation / conversion (draft)

DRAFT — have counsel review before relying on this: For 90 days after a Network Member last performs work for a Company through Voltora, the Company agrees not to hire that Network Member directly (as employee or independent contractor) for electrical work of the same kind without paying Voltora a conversion fee equal to 15% of the annualized bill rate for that role (estimated weekly hours × bill rate × 52 × 15%), unless Voltora waives the fee in writing.

5. Insurance and licensing

  • Network Members must hold a valid electrical license for the state and scope of work, and maintain insurance appropriate to the engagement (typically general liability; workers’ compensation where required). Certificates may be requested before placement.
  • Companies must maintain a safe job site and their own insurance customary for the project type.
  • Voltora checks licenses against the issuing state’s public records before placement. That check is not a warranty of future standing or of work quality.

6. Liability limits (draft)

DRAFT: To the fullest extent allowed by law, Voltora’s total liability arising out of an engagement is limited to the fees actually paid to Voltora for that engagement in the prior 90 days. Voltora is not liable for indirect, incidental, special, consequential, or lost-profit damages. Nothing here limits liability that cannot be limited under Minnesota law (including certain personal-injury claims).

7. Term and termination

  • Either party may end an open request or an engagement with written notice. Work already performed remains payable.
  • Voltora may remove a Network Member from a site for license, safety, conduct, or non-performance concerns and will work in good faith to replace them when available.

8. Confidentiality and site rules

Each party will treat non-public business information shared for an engagement as confidential and will follow reasonable site safety and access rules.

9. Governing law

This draft is governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. Venue for disputes is in the state or federal courts located in Minnesota, unless the parties agree otherwise in writing.
